Euro SME, with company registration number 1031259062 based in Belgium, provides the Euro SME site and its related services (“Services”) to the customer (“You”), in accordance with the terms and conditions (“Terms of Service”) outlined below.
Please read these carefully before proceeding to use the services provided. Euro SME reserves the right to update and edit the Terms of Service. If we make material changes, we will notify You via email to Your registered email address. The changes will take effect thirty (30) days after the date of the notice. If You do not accept the modifications, You must stop using the Services and terminate the agreement before the end of this 30-day period. Continued use of the Services after the 30-day period will constitute your acceptance of the said modifications.
Should You breach any of the terms in this Terms of Service, your account may be terminated without prior notice.
1. Description of Services
Euro SME offers a cloud-based software solution called Euro SME, designed to simplify the management of indirect taxes and invoicing for businesses. Key services include:
- Tax Management: Automates the calculation, collection, and reporting of indirect taxes like VAT, GST, and sales tax across multiple jurisdictions, ensuring compliance and reducing administrative effort.
- Invoicing: Enables the creation and management of professional invoices, supporting features like recurring billing to enhance cash flow.
- Tax Reports: Provides detailed tax reports and transaction summaries to assist in preparing accurate tax filings and maintaining compliance with international tax regulations.
- Global Support: Offers multi-currency and multi-language features to facilitate global business operations.
- Integration: Seamlessly connects with e-commerce platforms, payment processors, and accounting software, with API access for custom integrations.
Euro SME employs advanced security measures to protect user data, while users are responsible for maintaining accurate financial information within the platform.
2. Account Terms
- The person signing up on Your behalf must be over the age of eighteen (18) or have the explicit consent of a legal representative to create an account and access the Services.
- You must provide a full legal name, an email address, and any other required information about the legal entity to complete the registration process.
- You are responsible for maintaining the privacy of your account. Euro SME will not be held responsible for any damage or loss resulting from your failure to protect your access information, including your password.
- One person may not have more than one trial account, which is offered at Euro SME’s sole discretion.
3. Payment and Access
- A valid payment card is needed to make payments. Euro SME reserves the right to freeze Your account in case of non-payments. A payment card is not required to create or use a trial account.
- Euro SME will charge You a monthly fee based on your account type at the applicable price rates stated on Euro SME’s website. The services are charged a month in advance and fees are non-refundable. There will be no refunds or credits for partial months of service, nor refunds made should You not use the Services during a period of time as long as your account is active. No exceptions will be made.
- If You change Your subscribed services, Your payment card will be charged the new billing amount immediately. From this point on, Your payment card will be charged the new billing rate every 30 days unless You cancel Your account.
- All fees are exclusive of all taxes or duties imposed by governing authorities. You have sole responsibility for paying all such taxes or duties.
4. Modifications to the Services and Fees
Euro SME reserves the right to temporarily or permanently edit or suspend the Services at any time for any reason. Euro SME shall notify You via email to Your registered email if we suspend the Services.
Euro SME reserves the right to change their fees with thirty (30) days' prior notice. Fee change notices will be posted on the website Euro SME and sent to Your registered email address.
5. Cancellation and Termination
- You alone are responsible for the proper cancellation of your account. You may cancel your account at any time by clicking on the Subscription link in the navigation menu of the Service. The Subscription section provides a straightforward link to cancel your account. Email or phone requests to cancel your account will not be deemed cancellation.
- Your account and all of its content will be deleted within six (6) months following your cancellation. You are solely responsible for downloading your own content before You cancel Your account.
- You may cancel your account at any time, but You will remain liable for all charges accrued up to that time, including full monthly charges for the month in which You cancelled your account. From this point on, You will not be charged again.
- Euro SME reserves the right to temporarily or permanently edit, suspend, or terminate your account at any time for any reason without notice or refund. Euro SME also reserves the right to delete all content associated with your account. Euro SME may refuse Service to any physical or juridical entity for any reason at any time.
6. Copyright and Intellectual Ownership
- Euro SME, its affiliates or its suppliers own the Intellectual Property rights to any and all protectable components of the Service, including but not limited to the name of the Service, graphic material, all software associated with the Service and end-user interface elements contained within the Service, many of the individual features, and the related documentation.
- You may not copy, edit, adapt, reproduce, distribute, reverse engineer, decompile, or disassemble any aspect of the Service which Euro SME, its affiliates or its suppliers own. You also agree and undertake to not use robots, spiders, other automated devices, or manual processes to control or copy any content of the Service.
- Euro SME claims no Intellectual Property rights over the content You upload or provide to the Service. However, by using the Service to send content, You agree that others may view and share your content.
7. Privacy and Data Protection
When You enter or upload your data into our Services, we don’t own that data but You grant us a licence to use, copy, transmit, store, analyse, and back up all data You submit to us through our Services, including personal data of yourself and others, to:
- Enable You to use our Services
- Allow us to improve, develop and protect our Services
- Create new Services
- Communicate with You about your subscription
- Send You information we think may be of interest to you based on your marketing preferences
Please refer to our Privacy Policy for details on our privacy practices through the use of Euro SME. By using Euro SME, You acknowledge that We may collect information which is considered as being personal information under applicable laws. In cases where Euro SME processes personal information on Your behalf, the parties shall adhere to Euro SME’s Data Processing Agreement (DPA), which forms an integral part of this agreement.
You acknowledge that You shall be solely and exclusively responsible to provide all the necessary controls on Your website as well as obtain any consent, which You might be legally obliged to obtain from Your customers.
By accepting the terms contained within this agreement, including its annexes, You acknowledge, represent and warrant that You will not store any sensitive personal information (within the meaning of the GDPR) in the Services and You shall comply with all applicable laws, including but not limited to data protection and privacy laws and that You shall indemnify Euro SME against any Third Party claims related to Your violation of such applicable laws or the terms of this agreement in connection with the use of the Services.
Data Retention and Processing limits for Connected Platforms (e.g. Etsy)
We strictly adhere to the API terms of service of the platforms you connect. We explicitly do not use any Artificial Intelligence (AI) or Machine Learning (ML) models on data retrieved from Etsy. Furthermore, any data fetched from Etsy or similar connected platforms is retained for a maximum of 30 days before being automatically and securely deleted or fully anonymized beyond recovery.
8. Confidential Information
While using our services, You may share confidential information with us, and You may become aware of confidential information about us including, but not limited to, company internal information and information related to the IPR, services, specifications, marketing information and similar sensitive information. You and we both agree to take reasonable steps to protect the other party’s confidential information from being accessed by unauthorised individuals. The parties hereby agree that they will use such confidential information solely for the purposes of performing the agreement. You or we may only share each other’s confidential information with legal or regulatory authorities if required to do so.
The foregoing provisions will not prevent the disclosure or use by the parties of any information that is or becomes, through no fault of the party, public knowledge or to the extent required by mandatory law.
The parties agree to hold the other party harmless and indemnified against any loss or cost related to any breach of such obligations of confidentiality. Such breach of confidentiality will always be deemed as a material breach of contract.
9. Limitations of Liability
To the maximum extent permitted by applicable law, neither Euro SME, its affiliates nor sponsors are responsible for any direct, indirect, incidental, consequential, special, exemplary, punitive or other damages arising out of or relating in any way to your use of the Service, except in cases of willful misconduct or gross negligence.
In any event, Euro SME’s total aggregate liability to You for all claims arising under or relating to this agreement shall be limited to the total amount of fees actually paid by You to Euro SME during the twelve (12) months immediately preceding the event giving rise to such liability.
Your sole remedy for dissatisfaction with the Service is to stop using the Service and cancel your account as outlined above.
10. General Conditions
- You understand and agree that the Service is provided “as is” and “as available”. Euro SME declines all liability for the availability, opportunity, security or reliability of the Service. You assume total responsibility and risk for your use of this Service.
- You agree not to resell, duplicate, reproduce or exploit any part of the Service without the express written permission of Euro SME. You may not use the Service to store, host, or send damaging or unsolicited email (spam).
- You understand that the Service can be used for transmission of your content, and that during processing, your content, including invoices, payment reminders, and personal messages, may be transferred unencrypted over the Internet.
- You may not use the service to transmit any viruses, worms, or any type of malicious or damaging content. Euro SME makes no guarantees regarding (a) your ability to use the Service, (b) your satisfaction with the Service, (c) that the Service will be available at all times, uninterrupted, and error-free, (d) the accuracy of mathematical calculations performed by the Service, and (e) that errors in the Service will be corrected.
- If any provision of the terms described here is held invalid or otherwise unenforceable, the enforceability of the remaining provisions shall not be impaired thereby.
- You agree to protect and fully compensate Euro SME and its affiliates, representatives and employees from any and all third party claims arising from your use of the Service, including responsibility or expense incurred through claims, losses, any kind of damages, litigations, resolutions, legal costs and lawyers fees. In such a case, Euro SME will notify You in writing of said claim, litigation or action.

- The failure of Euro SME to exercise any right provided for in these Terms of Service shall not be deemed a waiver of any right hereunder.
- The agreement sets forth the entire understanding between You and Euro SME as to the Service and supersedes any prior agreements between You and Euro SME (including, but not limited to, prior versions of the Terms of service).
11. Jurisdiction and Governing Law
The agreement, as well as your relation to Euro SME in accordance with the said agreement, will be bound by Belgian Law. You and Euro SME agree to be subject to the exclusive jurisdiction of the courts of Leuven, Belgium (or, alternatively, the judicial district where Euro SME has its registered seat) in order to resolve any legal issue concerning or associated with the agreement. Without prejudice to the above, You agree to Euro SME’s right to request the adoption of precautionary measures (or any other equivalent urgent measures) under any jurisdiction.
